Terms of Service

The rules for using TenantBay.

These Terms govern your access to and use of TenantBay, including the website, property management platform, AI features, automation, RepairBay vendor marketplace, integrations, subscriptions, and all related services. Read them carefully before using the platform.

TenantBay is software — not a law firm, property manager, or payment processor. Unless we say otherwise in a separate written agreement, we are not a party to your lease agreements, rental decisions, or maintenance arrangements.

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and TenantBay Inc. ("TenantBay," "we," "us," or "our"). By accessing, registering for, or using TenantBay, including our website, web application, mobile experience, API, and all related features and services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you use TenantBay on behalf of a company, partnership, landlord group, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include that entity. If you do not have such authority or do not agree with these Terms, you must not use the Service.

2. Eligibility and Account Responsibilities

To use TenantBay, you must:

  • Be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction.
  • Provide accurate, current, and complete registration information, and keep it updated throughout your use of the Service.
  • Maintain the security of your account credentials and not share your login with others. You are fully responsible for all activity that occurs under your account, whether or not authorized by you.
  • Notify us immediately at security@tenantbay.com if you suspect unauthorized access, credential compromise, or any security incident involving your account.

We reserve the right to refuse registration, restrict access, or require additional identity verification if we detect risk, misrepresentation, abuse, or conduct inconsistent with these Terms.

3. Description of the Service

TenantBay provides digital tools for residential rental portfolio management, including:

  • Property and unit management, occupancy tracking, and visual portfolio grid.
  • Tenant profiles, onboarding workflows, and lease lifecycle tracking.
  • Multi-channel lead intake (WhatsApp, Facebook, SMS, phone) and an AI-assisted inquiries inbox.
  • Lease document generation, e-signature delivery, and signed document storage.
  • Rent collection tracking, payment status management, and automated payment reminders.
  • Maintenance issue logging, RepairBay vendor marketplace, bid management, and cost tracking.
  • Automation workflows for rent reminders, lease renewal notices, and tenant communications.
  • AI-powered portfolio assistant, daily digest, lead prescreening, and search.
  • Utility bill tracking, threshold alerts, and analytics and reporting dashboards.
  • Calendar and scheduling for visits, inspections, showings, and maintenance events.

TenantBay is a software platform, not a licensed real estate brokerage, law firm, financial advisor, property manager, or compliance consultant. Nothing in the Service constitutes legal, tax, financial, or professional advice. You are solely responsible for the decisions you make using the platform.

We may add, modify, suspend, or discontinue any feature or aspect of the Service at any time. For material changes to paid features, we will provide reasonable advance notice.

4. Subscription Plans, Fees, Billing, and Cancellation

Plans: TenantBay offers a free Basic plan, a paid Pro plan, and a custom Enterprise plan for larger portfolios. Plan features, usage limits (including monthly AI message allowances), and pricing are described on our pricing page and may be updated from time to time. Enterprise terms, including pricing and any service commitments, are set out in a separate order form or agreement; where that agreement conflicts with these Terms, the Enterprise agreement controls for that customer. The free Basic plan is provided "as is" with no uptime or feature guarantees beyond what we make available to all Basic users.

Billing: Paid subscriptions are billed in advance on a recurring monthly or annual basis, depending on the billing cycle you select. By subscribing to a paid plan, you authorize TenantBay and its payment processor (Stripe) to charge the payment method on file for recurring fees plus applicable taxes automatically at the start of each billing period, and to do so on each renewal until you cancel.

  • Subscription fees are charged in advance for the applicable billing period and are generally non-refundable except where required by applicable law.
  • Pay-as-you-go charges (such as additional AI message volume on Pro) are billed in arrears based on actual usage during the billing period.
  • All prices are in U.S. dollars (USD) unless otherwise stated. You are responsible for all applicable taxes, duties, or levies imposed by your jurisdiction.
  • We will provide at least 30 days' notice of any material increase to subscription pricing before it takes effect on your next renewal.
  • If a payment fails, we will notify you and may retry the charge. Continued failure may result in suspension of paid features. Accounts that remain delinquent for more than 30 days may be subject to termination.
  • You may cancel your subscription at any time through your account settings. Your access to paid features will continue until the end of the current paid billing period, after which your account will revert to the Basic plan. No prorated refunds are issued for unused time except where required by law.
  • Chargebacks filed without first contacting us to resolve a billing dispute may result in immediate suspension of your account pending resolution.

5. Customer Data, Ownership, and License

You retain full ownership of the data, files, messages, documents, and content you submit to TenantBay ("Customer Data"). You grant TenantBay a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, display, and use your Customer Data solely to: (a) provide and operate the Service for you, (b) comply with legal obligations, and (c) improve the security, reliability, and performance of the platform, but not to train AI models or share your data with other customers.

Personal information of third parties. Where your Customer Data includes personal information about tenants, applicants, vendors, or other individuals, you act as the party accountable for that information and TenantBay acts as your service provider, processing it only to provide the Service and on your instructions, as described in our Privacy Policy. If you require a written data processing agreement to govern that relationship, one is available on request at legal@tenantbay.com, and, once signed, forms part of these Terms.

You represent and warrant that:

  • You have all rights, permissions, consents, and authorizations necessary to upload, submit, and process the data you provide through the Service, including personal information about tenants, applicants, and other individuals.
  • Your Customer Data does not infringe any intellectual property right, violate any privacy or data protection law, or breach any contractual obligation owed to a third party.
  • You will not upload content that is unlawful, defamatory, fraudulent, discriminatory, harassing, or privacy-invasive.

6. Your Compliance Obligations

TenantBay is a tool. You are the decision-maker. You are solely responsible for:

  • Complying with all applicable laws in your jurisdiction, including but not limited to: privacy and data protection laws (PIPEDA and provincial equivalents), landlord-tenant legislation (including the Ontario Residential Tenancies Act, BC Residential Tenancy Act, and equivalents), fair housing and anti-discrimination laws, anti-spam legislation (CASL), e-signature laws (Electronic Commerce Act and equivalents), and consumer protection legislation.
  • Obtaining all required consents from tenants, applicants, and other individuals before collecting, submitting, or processing their personal information through TenantBay.
  • Ensuring that all communications sent through TenantBay's messaging or automation features, including rent reminders, lease notices, and automated messages, comply with CASL, applicable landlord-tenant notice requirements, and any other applicable laws.
  • Ensuring lease terms, rental pricing, tenant selection criteria, and housing decisions comply with applicable fair housing, human rights, and anti-discrimination laws. TenantBay does not screen tenants on your behalf and is not responsible for discriminatory decisions made using the platform.
  • All screening decisions, lease execution, rent collection practices, maintenance decisions, entry notice requirements, and interactions with tenants, applicants, vendors, and third parties.
  • Verifying the legal validity and enforceability of any document generated through TenantBay in your specific jurisdiction before relying on it.

7. Acceptable Use

You agree not to use TenantBay to:

  • Violate any applicable law, regulation, regulatory guidance, or third-party right.
  • Discriminate against any person on the basis of race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity, marital status, family status, disability, or any other protected ground under applicable human rights legislation.
  • Send unsolicited commercial messages or communicate with individuals who have not consented to receive messages from you through the relevant channel, in violation of CASL or equivalent laws.
  • Upload, transmit, or store content that is fraudulent, misleading, defamatory, obscene, harmful, or that infringes any intellectual property right.
  • Introduce malware, spyware, viruses, or other harmful code into the Service.
  • Abuse rate limits, scrape or crawl the platform, or interfere with the Service's availability or performance.
  • Attempt to gain unauthorized access to any portion of the Service, other customer accounts, or TenantBay systems.
  • Reverse engineer, decompile, copy, reproduce, frame, resell, or create derivative works based on the Service except where expressly permitted by law.
  • Use the Service for life-critical, emergency response, or safety-critical purposes where platform downtime or inaccuracy could result in personal injury or death.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violation of this section may result in immediate suspension or termination of your account without notice or refund.

8. AI Features and Automated Outputs

TenantBay includes AI-powered features such as a conversational portfolio assistant, daily digest, lead prescreening, AI search, and document drafting aids. Important terms governing these features:

  • AI-generated outputs are probabilistic and may be incomplete, inaccurate, outdated, or unsuitable for your specific situation. You must review all AI outputs before relying on them for legal notices, lease decisions, tenant screening, payment enforcement, or any other consequential action.
  • AI features do not constitute legal, tax, accounting, compliance, insurance, or professional advice of any kind. No output generated by TenantBay AI should be treated as a substitute for qualified professional advice.
  • Your Customer Data submitted to AI features is used solely to generate the requested output for your account. It is not used to train AI models or shared with other users.
  • AI message usage is metered and subject to the limits applicable to your plan. Exceeding plan limits on Pro may result in pay-as-you-go billing.
  • We may modify, improve, or discontinue AI features at any time. AI outputs may vary for the same input across sessions.

9. Third-Party Services and Integrations

The Service may integrate with or allow you to connect third-party services including Google, Facebook, Meta, WhatsApp, Stripe, and other communication or marketplace platforms. When you enable these integrations:

  • Your use of those third-party services is governed by their own terms of service and privacy policies. We encourage you to review them before enabling any integration.
  • We are not responsible for the availability, accuracy, data practices, or actions of third-party platforms, and any disruption to those services may affect related features within TenantBay.
  • You are responsible for ensuring that your use of any integration, including the messaging and lead intake features connected to Meta and WhatsApp, complies with those platforms' usage policies, developer policies, and applicable messaging consent requirements.
  • TenantBay does not control and is not liable for third-party content, products, or services you access through or alongside the platform.

10. Intellectual Property

TenantBay and all of its components, including the platform, software, source code, designs, interfaces, logos, trademarks, service marks, content, AI models, compiled data, and documentation, are owned by TenantBay or its licensors and are protected by Canadian and international intellectual property laws, including copyright, trademark, and trade secret law.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service solely for your internal rental management purposes in accordance with these Terms. No other rights are granted. All rights not expressly granted are reserved by TenantBay.

If you submit feedback, feature suggestions, or ideas to TenantBay, you grant us a perpetual, irrevocable, royalty-free license to use, implement, and commercialize that feedback without restriction or compensation to you.

11. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. TenantBay will maintain the confidentiality of your Customer Data in accordance with these Terms and our Privacy Policy. You will maintain the confidentiality of any non-public information about TenantBay's platform, security practices, pricing, or roadmap that we share with you in the course of our relationship.

12. Availability and Maintenance

TenantBay operates on a commercially reasonable basis and targets high availability, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, infrastructure issues, third-party outages, or events outside our reasonable control. We will make reasonable efforts to notify users of planned maintenance in advance. Temporary unavailability does not entitle you to a refund, fee credit, or damages except as required by applicable law.

13. Disclaimers

To the maximum extent permitted by applicable law, TenantBay is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, that any output (including AI-generated output) will be accurate, complete, or legally compliant, or that the Service is free of errors, viruses, or other harmful components. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by applicable law, TenantBay and its affiliates, directors, officers, employees, agents, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, loss of business opportunities, cost of substitute services, or damages arising from unauthorized access to or alteration of your data, even if TenantBay has been advised of the possibility of such damages.

Our total aggregate liability to you arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), statute, or otherwise, will not exceed the greater of: (a) the total fees you paid to TenantBay in the 12 months immediately preceding the event giving rise to the claim, or (b) $100 USD.

These limitations apply to the fullest extent permitted by law. Some jurisdictions do not allow certain liability exclusions or limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless TenantBay and its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your Customer Data; (b) your use of or access to the Service; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; or (e) your interactions with tenants, applicants, vendors, or other third parties through or in connection with the Service. TenantBay reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

16. Suspension and Termination

By TenantBay: We may suspend, restrict, or terminate your access to the Service immediately and without prior notice if we determine, in our sole discretion, that you have: materially violated these Terms or our Acceptable Use policy; created legal, security, or reputational risk for TenantBay or its users; failed to pay amounts due after reasonable notice; used the Service in a manner that could harm other users, third parties, or TenantBay; or provided materially false information during registration.

By you: You may stop using TenantBay and cancel your account at any time. Instructions for account deletion are available in your account settings or by contacting us.

Effect of termination: Upon termination for any reason: (a) all licenses granted to you under these Terms immediately terminate; (b) you must cease all use of the Service; (c) payment obligations that accrued prior to termination survive; (d) indemnification, intellectual property, disclaimers, limitation of liability, and governing law provisions survive. We may retain Customer Data for a limited period following termination to allow data export, and will thereafter delete or anonymize it in accordance with our Privacy Policy, except where retention is required by law.

17. Force Majeure

Neither party will be liable for any failure or delay in performance of its obligations under these Terms (other than payment obligations) where such failure or delay arises from causes beyond the reasonable control of the affected party, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government action, regulatory changes, internet or infrastructure outages, cyberattacks, power failures, or failures of third-party service providers. The affected party must promptly notify the other party and use commercially reasonable efforts to resume performance as soon as practicable.

18. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to TenantBay or these Terms, including questions about their existence, validity, or termination, are governed by the laws of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Informal resolution: Before initiating any formal legal proceeding, you agree to contact us at legal@tenantbay.com and provide a written description of the dispute, the relief sought, and your contact information. Both parties agree to attempt to resolve the dispute in good faith within 30 days of notice. This informal resolution process is a condition precedent to filing any formal claim.

Jurisdiction: If the dispute cannot be resolved informally, the parties irrevocably consent to the exclusive jurisdiction of the courts of Ontario, Canada, sitting in Toronto, Ontario, for the resolution of any dispute. You waive any objection to the jurisdiction or venue of those courts.

Nothing in this section prevents TenantBay from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use, infringement, or breach that could cause irreparable harm.

19. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and TenantBay relating to the Service and supersede all prior agreements, representations, and understandings.
  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver of any term shall be effective unless made in writing and signed by an authorized representative of TenantBay.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. TenantBay may freely assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets. These Terms are binding on and inure to the benefit of the permitted successors and assigns of each party.
  • No agency: These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and TenantBay. You have no authority to make commitments on TenantBay's behalf.
  • Notices: Legal notices to TenantBay must be sent in writing to legal@tenantbay.com. We may provide notices to you via the email address associated with your account or through a prominent in-product notification.
  • Language: These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict, the English version prevails.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in the law, our platform, or our business. We will provide at least 14 days' advance notice of material changes by posting a notice within the Service or sending an email to the address associated with your account. The updated effective date will be displayed at the top of this page. Your continued use of TenantBay after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the changes take effect.
